You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in St. Lucie County, Florida, for any legal proceedings arising out of or relating to these Terms or the Site.

16. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Site shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in St. Lucie County, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

18. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. PGE's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and PGE regarding your use of the Site, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
